LETE Wholesale Terms & Conditions

Eligibility

Wholesale accounts are available to approved retailers, boutiques, studios, wellness spaces, and online stores that align with the LETE brand. Submission of a wholesale application does not guarantee approval.

LETE reserves the right to approve, deny, suspend, or revoke wholesale access at any time.

AUTHORIZED WHOLESALE CHANNELS

Official LETE wholesale purchasing is available exclusively through:

LETE does not authorize wholesale sales, distribution, or purchasing through any other websites, marketplaces, distributors, agents, or third-party platforms unless expressly approved in writing.

LETE reserves the right to refuse, suspend, or terminate wholesale relationships involving unauthorized resale channels, unauthorized wholesale distribution, or unauthorized use of LETE products or branding.

 

 

Wholesale Pricing

Approved wholesale partners may access wholesale pricing through approved sales channels, including direct wholesale and authorized wholesale platforms.

Wholesale pricing, product availability, and order minimums are subject to change without notice.

Suggested retail pricing (MSRP) may be provided as a recommended resale guideline only.

 

 

Minimum Order Requirements

Minimum order requirements may apply to opening orders and reorders depending on region, sales channel, and account type.

LETE reserves the right to modify minimum order requirements at any time.

Current direct wholesale minimum order values:

  • USA → $500 USD

  • Australia → $500 AUD

  • New Zealand → $500 NZD

  • Other international markets → equivalent local market currency

LETE reserves the right to update minimum order thresholds at any time.

 

 

Payment Terms

All wholesale orders must be paid in full prior to shipment unless otherwise agreed in writing.

Orders are processed once payment has been successfully received.

 

 

Shipping & Duties

Wholesale customers are responsible for:

  • shipping costs

  • import duties

  • customs fees

  • tariffs

  • brokerage or clearance fees

  • taxes associated with international shipments

LETE is not responsible for customs delays, import restrictions, or additional charges incurred once an order has been dispatched.

Shipping rates are calculated at checkout or invoiced separately where applicable. Shipping timelines are estimates only and are not guaranteed.

 

 

Returns & Exchanges

All wholesale sales are final.

Claims relating to incorrect items or manufacturing faults must be submitted within 7 days of delivery.

Returns will not be accepted for:

  • change of mind

  • sizing preferences

  • normal wear and tear

  • customer purchasing decisions or change-of-mind

 

 

Product Availability

Availability of styles, colors, and sizes is subject to stock levels.

LETE does not guarantee continuous availability of any specific product or collection.

 

 

Resale & Marketplace Restrictions

Wholesale partners may sell LETE products through approved retail channels only.

Without prior written approval from LETE, products may not be sold through:

  • Amazon

  • Walmart Marketplace

  • Temu

  • eBay

  • unauthorized third-party marketplaces

  • discount resale platforms

  • unauthorized distributors or resellers

LETE reserves the right to revoke wholesale access where resale practices, pricing, distribution, or brand presentation are deemed inconsistent with LETE brand standards.

 

 

Brand Representation

Wholesale partners agree to represent the LETE brand professionally and maintain presentation standards consistent with the LETE brand image, positioning, and values.

LETE reserves the right to suspend or terminate wholesale access where products, branding, pricing, marketing, or resale practices are deemed inconsistent with the brand.

 

 

Intellectual Property

All LETE trademarks, branding, logos, product names, designs, imagery, graphics, marketing materials, website content, product concepts, and related intellectual property remain the exclusive property of LETE.

Wholesale partners may not reproduce, copy, modify, distribute, manufacture, imitate, or otherwise exploit LETE intellectual property, products, concepts, or creative materials without prior written consent.

Any unauthorized use, reproduction, imitation, or infringement of LETE intellectual property may result in immediate termination of the wholesale relationship and may be subject to legal action.

 

 

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LETE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, SHIPPING DELAYS, CUSTOMS DELAYS, IMPORT RESTRICTIONS, PRODUCT AVAILABILITY, OR ANY DAMAGES ARISING FROM THE PURCHASE, RESALE, DISTRIBUTION, OR USE OF LETE PRODUCTS.

LETE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO ANY WHOLESALE ORDER SHALL NOT EXCEED THE TOTAL AMOUNT PAID TO LETE FOR THE SPECIFIC PRODUCTS GIVING RISE TO THE CLAIM.

LETE SHALL NOT BE RESPONSIBLE FOR ANY THIRD-PARTY COSTS, RETAILER LOSSES, IMPORT CHARGES, MARKETPLACE PENALTIES, OR CONSEQUENTIAL DAMAGES INCURRED BY WHOLESALE PARTNERS.

 

 

Agreement

By applying for, accessing, or placing a wholesale order with LETE, the customer acknowledges that they have read, understood, and agreed to be bound by these Wholesale Terms & Conditions.

LETE reserves the right to modify, update, or revise these Terms & Conditions at any time without prior notice. Continued access to wholesale pricing, services, or product purchases constitutes acceptance of any updated terms.
